Student Essentials Affiliate Program Terms

This agreement is designed with you in mind, as well as protecting you, Student Essentials and our customers. Please read thoroughly. Affiliate Agreement
This agreement describes the terms and conditions for participation in the Student Essentials affiliate program. In this agreement, the term "Affiliate" refers to you (the applicant) and "Student Essentials" refers to The Student Essentials Company Limited registered in England and Wales (13259753), with whom you are entering this agreement. By accepting the agreement, you are confirming that you have read and agreed to the terms and conditions.
Commissions
The commission is calculated on the sale value minus value-added-tax (VAT) and shipping costs. The commission is tracked using the unique referral link provided on the affiliate's tracking portal dashboard.
Payments
The Affiliate will need to raise the necessary invoice for its commission payment. The commission payment can be seen on the affiliates tracking dashboard (for which the affiliate will have access to). Once the invoice has been received by Student Essentials and the amount is confirmed to be accurate, then the payment will be made to the nominated account via bank transfer.
Refunds
In the event a customer requests a refund for a transaction for which the Affiliate has earned commissions, any commissions earned on the refund amount will be deducted from the Affiliate's balance.
Usage and Obligations
Affiliates are permitted to use the Student Essentials brand and marketing resources available. Marketing material will be provided via email. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials.
The Affiliate will never imply that they are acting on behalf of Student Essentials. The Affiliate will never bid for advertisements that compete with Student Essentials.
The Affiliate will never represent themselves, Student Essentials or their relationship with Student Essentials in a false or misleading way.
Term and Termination
Either party has the right to terminate the agreement with a 30-day notice.
If the Affiliate terminates the agreement, no further commissions from Student Essentials will be paid for any future customer transactions.
Set Off
Student Essentials may not withhold payment of, or make any deduction from, any invoice or other amount due to the Affiliate by reason of any right of set-off or counterclaim which Student Essentials may have or allege to have or for any reason whatsoever.
Modification
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Affiliate Program rules.
Governing Law
This Agreement shall be governed and construed in accordance with the Laws of England and Wales.
